This is a skeleton, not a contract. Each heading is a section the final document needs; the notes under it say what must be covered and which published promise it has to honour. Replace this entire body with the text counsel drafts, then set reviewed: true in the frontmatter above — that is what removes the notice and the noindex.

1. Who these terms apply to

Business customers only (podnikatel), not consumers. State this expressly — it is what removes consumer protection obligations including the 14-day withdrawal right.

2. Definitions

Setup, Subscription, the Application, the Client Environment (their Google Cloud project), Client Data.

3. What we provide

Split clearly into the two things being sold:

  • Setup — a one-time deliverable, scoped per client, from €2,500.
  • Subscription — €199/month for access to the Application, monitoring, basic maintenance, connector updates, and support relating to the Application.

State the boundary of “support”: it does not include unlimited analytics consultancy, custom development, or data modelling.

4. Ownership

The section a generic template gets wrong. See the ownership map in docs/legal-brief.md §4.

  • The client owns their Google Cloud project, the server-side GTM configuration, all BigQuery datasets and pipelines, every raw event, and every aggregation.
  • trackin.gg owns the Application and the browser extension; the client receives a licence to access them for the term, not ownership.
  • trackin.gg retains its know-how and generic pipeline designs for reuse.

5. Access to the client environment

Elevated access during setup; a read-only service account thereafter. State the scope, the purpose limitation, and the client’s right to revoke — accepting that revoking ends the service.

6. Fees, billing and taxes

Setup fee, subscription, billing cycle. EU B2B reverse charge and VIES validation. State plainly that infrastructure — Google Cloud, and Stape where used — is contracted and paid by the client directly, and that trackin.gg neither invoices nor marks it up.

7. Term and termination

Cancellable at any time. On termination the client keeps the environment, the configuration and all data; access to the Application and to support ends. Handover: the project, documentation, and an explanation of the setup.

8. Warranties and liability

Limits enforceable under Czech law. Liability for intent and gross negligence cannot be excluded. Decide whether any uptime commitment is given at all.
